Early Development: for projects that are still in development, we can create proposals for the licensing or exhibition of such content on digital, linear or SVOD platforms.

Offer / Deal memo stage: we can draft an offer/deal memo to be presented to the proposed platform, including all major deal terms and protections. Upon review by both parties, we can then review and revise all contract drafts, ultimately arriving at a final signed agreement.

Contract stage: if a contract draft is already in circulation between the parties, we can review the draft and provide an opinion and/or suggestions. We can also revise and provide red-lined agreements for circulation and, ultimately, a signed agreement.

In each deal, numerous issues will need to be dealt with and negotiated. A few examples:

  • Should I license my content exclusively to one platform?
  • Can I retain some rights for myself in order to do other types of deals? What would a "standard" deal look like?
  • What about music collection societies? The moral rights of authors? Who handles these elements? What is my legal liability?
  • How do I deliver my content to the exhibiting platform in a way that they can use? And who pays for any costs if I have to conform the audio/video? Artwork?
  • How are they permitted to market and promote my content? Do I have any approval rights?

Our Specialists will guide you through each issue, including reviewing and revising your deal memo/offer or contract. With our experience, we will provide clear answers, as well as solid risk analysis, each step of the way.
